By accessing or using Orange Slice (“Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you may not use the Service. Orange Slice is an AI-powered sales enrichment spreadsheet platform operated by Orange Slice, Inc. (“we,” “our,” or “us”).

2. Description of Service

Orange Slice provides:

• An intelligent spreadsheet platform for sales data management and enrichment
• AI-powered columns using language models (Claude, GPT-4, Gemini) for content generation
• Data enrichment services connecting to third-party providers (LinkedIn data, contact information, company intelligence)
• Web scraping and website analysis capabilities
• Bulk processing and automation workflows
• Integration with external services (Google Sheets, Slack, CRM systems)
• Programmable columns with JavaScript/TypeScript code execution

3. Account Registration

To use the Service, you must:

• Create an account with accurate and complete information
• Be at least 18 years old or have legal capacity to enter into contracts
• Maintain the security of your account credentials
• Promptly notify us of any unauthorized use of your account

You are responsible for all activities that occur under your account, including actions by team members you invite.

4. Acceptable Use

You agree NOT to use the Service to:

• Violate any laws, regulations, or third-party rights
• Scrape or collect data in violation of website terms of service or robots.txt directives
• Send spam, unsolicited communications, or harassing messages
• Harvest personal data for purposes that violate privacy laws (GDPR, CCPA, etc.)

• Interfere with or disrupt the Service or servers
• Circumvent usage limits, rate limits, or billing mechanisms
• Use automated means to access the Service beyond normal API usage
• Resell or redistribute access to the Service without authorization
• Upload malicious code or content that could harm our systems or other users

5. Data Enrichment & Third-Party Services

The Service connects to third-party data providers for enrichment features. By using these features, you acknowledge:

• Third-party data providers have their own terms of service and data usage policies
• Data accuracy is not guaranteed; enrichment results should be verified
• You are responsible for ensuring your use of enriched data complies with applicable laws
• Provider availability and data quality may vary and are outside our control
• LinkedIn and other professional network data must be used in compliance with those platforms' terms and applicable data protection laws

6. AI-Generated Content

The Service uses AI models to generate content. You understand that:

• AI-generated content may contain errors, inaccuracies, or inappropriate material
• You are responsible for reviewing and verifying AI-generated content before use
• AI outputs should not be relied upon for legal, medical, financial, or other professional advice
• We are not liable for decisions made based on AI-generated content
• AI providers (OpenAI, Anthropic, Google) have their own usage policies that apply

7. Pricing & Payment

Orange Slice operates on a usage-based pricing model:

• Pay-per-use: You are charged for data enrichment calls, AI generations, and web scraping based on usage
• Credits: You purchase credits in advance which are consumed as you use the Service
• Usage tracking: Your usage and costs are visible in real-time within the platform
• No refunds: Credits are non-refundable except as required by law
• Price changes: We may adjust pricing with 30 days notice

8. Your Content & Data

You retain ownership of data you upload or create in the Service. By using the Service, you grant us:

• A license to process, store, and display your data to provide the Service
• Permission to send your data to third-party providers for enrichment (as you direct)
• Permission to use aggregated, anonymized usage data to improve our Service

You are responsible for ensuring you have the right to use, store, and process any data you upload, including compliance with privacy laws regarding personal data.

9. Intellectual Property

The Service, including its original content, features, and functionality, is owned by Orange Slice, Inc. and is protected by copyright, trademark, and other intellectual property laws.

Code you write in programmable columns belongs to you. However, any code we provide as examples, templates, or through AI assistance is licensed to you for use within the Service.

10. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted service:

• The Service is provided “as is” without warranty of availability
• We may perform maintenance that temporarily affects availability
• Third-party provider outages may affect enrichment features
• We reserve the right to modify or discontinue features with reasonable notice

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ORANGE SLICE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of profits, revenue, or business opportunities
• Loss of data or data corruption
• Inaccurate enrichment data or AI-generated content
• Service interruptions or downtime
• Third-party provider failures or data quality issues

Our total liability shall not exceed the amount you paid to us in the 12 months preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless Orange Slice, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

13. Termination

You may terminate your account at any time by contacting us. We may suspend or terminate your account if:

• You violate these Terms
• You engage in fraudulent or illegal activity
• Your account has been inactive for an extended period
• We discontinue the Service

Upon termination, your right to use the Service ceases immediately. You may export your data before termination; we are not obligated to retain your data after account deletion.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the courts located in Delaware.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the “Last Updated” date. Continued use of the Service after changes constitutes acceptance of the new Terms.

17. Severability
